Veolia has agreed to acquire Clean Earth from Enviri for $3 billion, doubling Veolia’s hazardous waste footprint in the United States. Clean Earth operates 82 locations nationwide, including 19 EPA-permitted treatment, storage, and disposal facilities, and holds more than 700 operating permits. The acquisition will expand Veolia’s capabilities in treatment, logistics, and specialized services for regulated waste.
The deal will strengthen Veolia’s presence in fast-growing sectors such as healthcare, retail, advanced manufacturing, semiconductors, and clean-energy production. Veolia expects the combined operations to support expanded PFAS treatment capacity and additional contaminant management technologies. The integration will also extend the company’s reach into underserved regions in the Southeast and Pacific Northwest.
Subject to regulatory approvals and Enviri shareholder approval, the acquisition is expected to close in mid-2026. Veolia plans to finance the transaction through existing resources and debt. Enviri will use a portion of the proceeds to reduce outstanding liabilities.
